• "Software" refers to NexChat, the B2B SaaS solution provided by ALGO TECHNOLOGIES PRIVATE LIMITED ("we," "us," or "our").
• "Open Source Version" refers to the Software licensed under the GNU Affero General Public License v3.0 (AGPL-3.0).
• "Commercial License" refers to the paid, commercial license for the Software.
• "Customer," "you," or "your" refers to the individual or entity using the Software.

2. License Options

2.1 Open Source License (AGPL-3.0)

• The Software is available under the AGPL-3.0 license.
• Users of the Open Source Version must comply with all terms of the AGPL-3.0 license, including:
  • Making available the complete source code when the Software is distributed or served over a network
  • Maintaining all copyright and license notices
  • Licensing any modifications or derivative works under AGPL-3.0

2.2 Commercial License

• Customers may purchase a Commercial License to use the Software without the obligations of the AGPL-3.0 license.
• The Commercial License grants you the right to:
  • Use the Software without sharing your source code
  • Distribute the Software as part of your proprietary solutions
  • Receive commercial support and updates

3. Subscription and Payments

3.1 Commercial License Subscription

• The Commercial License is offered on a subscription basis
• Pricing tiers and features are outlined on our pricing page
• All fees are non-refundable unless otherwise required by law

3.2 Payment Terms

• Payments are due in advance
• We may suspend access for non-payment
• Prices may be changed upon 30 days notice

4. Support and Maintenance

4.1 Open Source Version

• Community support through public forums and issue trackers
• No guaranteed response times or fixes

4.2 Commercial License

• Technical support via email/messaging platform/ticketing system
• Response times and level of support based on subscription tier
• Regular updates and bug fixes
• Integration support will be provided based on subscription tier

5. Data Privacy and Security

• We comply with applicable data protection laws
• Customer data is processed as outlined in our Privacy Policy
• We implement industry-standard security measures
• Customers remain responsible for their data and compliance

6. Intellectual Property

• We retain all rights to the Software
• Customers retain all rights to their data
• Any feedback or suggestions you provide may be used without obligation

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE.

9. Termination

• We may terminate your access for violation of these terms
• Upon termination of Commercial License:
  • All rights granted will cease
  • You must stop using the Software
  • You may transition to the Open Source Version

10. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes.

11. Governing Law

These terms are governed by the laws of India, without regard to conflict of law principles.
